摘要
权力及其配置一直是企业理论研究的热点,本文借鉴Baker等人支付权的概念及产权残缺理论,在权力重新分解的基础上讨论了公司治理结构的实质及类型,提出新“两权分离”是导致国有企业运作效率低下的原因,合理配置决策权和支付权是提高国有资产配置效率的途径之一。
Power and its allocation always is the hotspot of firm theory. Based on ″payoff right″ of Baker and imperfect property right theory- the article commentate the substance of governance structure- and point out the reason of state-owned company's low efficiency.
