摘要
司法解释规定,商品期货交割库不能在期货交易所交易规则规定的期限内,向标准仓单持有人交付符合期货合约要求的货物,造成标准仓单持有人损失的,期货交易所与交割库承担法定连带责任。期货交易所是否应承担责任以及是否应承担法定连带责任是目前期货市场争议较大的问题。围绕该问题,对期货市场创新发展时期现行规定的缺陷进行探讨,在分析借鉴境外期货市场经验作法的基础上,对我国期货市场中央对手方的责任边界、交割库的法律地位、交割库和期货交易所法律关系的性质、交割的定义等提出了完善建议。
Judicial interpretation provisions,if the designated delivery warehouse fails to deliver the goods to the standard warrant holder within the period specified in the trading rules of the futures exchange,conforming to the requirements of the futures contract,causing the standard warrant holder a loss,the futures exchange and the designated delivery warehouse shall bear legal joint and several liability.Whether the futures exchange should bear the responsibility and whether the futures exchange should bear legal joint and several liability are controversial issues in the current futures market.Focusing on these problems,this paper analyzes the current regulations and their background in China,discusses the defects of the current regulations in the new era,analyzes the experience of overseas futures markets and puts forward some suggestions to improve the relevant systems in China,such as clarifying the responsibility boundary of the central counterparty in the futures market,clarifying the legal status of the designated delivery warehouse,clarifying the legal relationship between the designated delivery warehouse and the futures exchange,and improving the definition of delivery.
