摘要
私营企业的产权多元化为企业所有权与经营权的分离创造了条件。托管制的出现,较好地处理了"两权分离"后作为委托人的企业主同作为代理人的经理人之间的契约关系。在企业主与经理人之间仍存在着诸多问题。该文从企业主与经理人托管关系的历史成因入手,对私营企业企业主与经理人关系的现状进行分析,提出构建企业主与经理人新型托管关系的有效途径。
The property rights' diversification of private enterprises makes a condition for the separation of management and ownership.The trusteeship system has well handled the contract relationship between client and agent,which represents the relation of proprietor and manager after separating.Proprietor and manager still have many problems.The paper researches the historic reason of the trusteeship relationship between proprietor and manager,and analyses the situation between proprietor and manager.The paper puts forward effective ways of how to construct a new trusteeship relationship.
