论“觅主变卖”有效性与抵押权实现的多样化

摘要 "觅主变卖"的预约条款是指在借款合同中约定偿款期限届至而未偿还时,贷款人有权将抵押物自行出卖的合同条款。从文义解释、目的解释的角度,"觅主变卖"预约不宜解释为流质契约,且在现行法下无禁止必要。抵押权实现途径的多样化已经成为当代民法立法趋势,表现为流质契约的解禁、抵押权自力实现的采纳以及让与担保的认可。我国民法也应考虑丰富抵押权实现的途径而非进一步缩限抵押权的实现途径。若要在立法上承认"觅主变卖"预约,并使这一机制得到充分、合理地利用,需要在清算和通知两方面作出制度安排,应当以《物权法》第一百五十三条规制变卖的发生,在立法上强调公力实现以外的抵押权实现途径中的通知制度。 The sale terms in mortgage contracts mean the terms in agreement that where the debtor defaults or the conditions for enforcement of the mortgage interest thereof,as agreed upon by the parties concerned,arise,the mortgagee has the right to sell the security and get paid with the money. Based on the semantic interpretation and purpose interpretation,this kind of sales terms shouldn’t be regarded as fluidity contracts. There is a diversified trend of enforcement of the right of mortgage in civil law’s development. Chinese civil law should also enrich the ways of enforcement of the right of mortgage,and liquidation and notification systems should be emphasized.
