摘要
国有企业改制是适应现代社会生产发展、落实经济体制改革的重要体现,通过改制实现以市场经济为基础,以企业法人制度为主体,以有限责任制度为核心,产权清晰、权责明确、政企分开、管理科学的新型企业。企业改制增强了国有企业的活力和竞争力,但由于政策、体制、法制等方面原因,导致国有企业改制中出现了一系列法律问题,如企业改制过程中国有资产如何保值增值、原有债权债务如何承担、职工劳动关系如何转变等,这些问题已成为国企改革进程中的风险所在。
The ownership change of state-owned enterprises is an important reflection of adaptation to the production and development of modern society,implementing the reform of economic system. Through ownership change can realize new enterprises with taking the market economy as the basis,legal person system of the enterprise as the main body,the limited liability system as the core,clearly established ownership,clearly defined rights and responsibilities,separate government functions from enterprise management and scientific management. Ownership change can enhance the vitality and competitiveness of state-owned enterprises,but owing to reasons from the policy,the system,the legal system and so on,bring about a series of legal problems have emerged in the reform of state-owned enterprises,such as how to maintain and increase the value of assets in the process of enterprise restructuring,how to bear the original obligatory right and debt,how to change the labor relations of the staff and workers and so on. These problems have become the risk in the process of state-owned enterprises reform.
