摘要
矿业权证券化是资产证券化的一种类型。我国探索和发展矿业权证券化,对于完善我国资本市场结构,推动融资结构的调整,促进矿业资本的优化配置具有积极的作用。本文分析了矿业权证券化的主要特点,包括提高企业流动性、降低融资成本、限制信用风险,介绍了矿业权证券化的运作模式,包括矿业权证券化的基本结构和运作流程,探讨了矿业权证券化在我国的实现途径,分析了我国开展矿业权证券化面临的市场机制障碍、法律制度障碍、信用机制障碍、人才资源障碍,并在此基础上提出了改革完善矿业权市场、建立健全法律法规及配套制度、规范发展信用评级服务机构、加强专业人才储备等对策建议。
Mining right securitization is a type of asset securitization .It plays positive role in improving the capital market structure ,advancing the adjustment of financing structure ,and promoting the optimal allocation of mining capital to explore and develop mining right securitization in China .The paper analyses the main characters of mining securitization ,including increasing the liquidity of a company ,lowering cost of capital and limiting credit exposure ,introduces the operation mode of mining right securitization ,including the basic structure and the operation process ,discusses the implement of mining right securitization in China ,analyses the market mechanism obstacles ,legal system obstacles ,credit mechanism obstacles and human resource obstacles of mining right securitization in China ,and proposes the suggestions of reforming and improving the mining right market ,establishing and improving the legal system ,regulating and developing the credit rating agencies ,strengthening the reserves of professionals .
