摘要
公司资本制度是由公司法所确立的、调整公司与股东之间的财产关系、保护公司中与其注册资本相当的财产免受非法侵害的一系列制度规则。公司资本制度不仅需要民商法的保护 ,更离不开刑法的保护。刑法保护公司资本制度应遵循协调性原则、适度性原则、公平性原则。
The law concerning company's assets is set by company law, it governs the ownership of property between company and its shareholders and protect the assets from illegal violation. Company's assets are protected not only by civil and commercial law but also by criminal law. The principles of protection should be harmonization, proper and equality.
