摘要
本文运用博奕论的方法,对控股股东滥用股权问题进行了理论和实证分析,指出了上市公司治理结构的特点及由此产生的大股东操纵股东大会、董事会、监事会等问题,阐明了对配股的影响,并提出了完善治理结构的对策思路。
This article makes a theoretical and example analysis of commanding stockholders abusing ownership right by using game theory.It points out the administration structure features of listed company and the problems arising therefore such as big stockholders controlling stockholders meet-ing,the board of director,supervisory committee.It elucidates the influence on stock allocation and puts forward the countermeasures and trains of thoughts on how to perfect the administration struc-ture.
