摘要
作为一种更高效率的企业组织形式 ,公司制对促进社会生产力发展发挥了巨大作用 ,以独立人格与股东有限责任为原则的公司法人制度 ,在集中资本、减少风险、所有权与经营权相分离等方面也发挥出了极大作用。但是 ,滥用公司法人制度的现实也说明了其在制度设计上还存在着一些无法克服的先天缺陷。公司法人格否认制度就是为了确保公平、正义的法律目标而对公司法人制度所进行的矫正。我国正在进行的国企公司制改革中 ,体制和人为的因素使得公司法人制度的运用出现了诸多变异 ,产生了许多滥用公司法人格的行为。在对公司法人格的法理基础、必要性、适用类型等方面阐述的基础上 ,列举了国企公司制改革中典型的滥用公司法人格行为 ,提出了以公司法人格否认制度进行有效法律规范并以此完善《公司法》立法的见解。
As an efficient organizing form of enterprise, company system has been playing great function in promoting the development of social productivity. Great function has also been played by company legal person system of independent personal status and the principle of shareholder limited liabilities, in the way of financing, risk reduction, and the separation of ownership with managing right. However, the fact of misuse of company legal person system illustrates that there are some inborn limitations that cannot be overcome in the drawing of the company system. The denial to company legal person status system is a rectification to the company legal person system to insure the legal target of fairness and justice. In the process of state owned enterprise reform towards company system, there are quite some cases of misusing company legal person status, due to the variance of the system and artificial factors in the utilization of company legal person system. By illustrating the aspects of company legal persons legal basis, necessity and adaptable modes by giving a list of typical misuse of company legal person status during state owned enterprise reform, and goes on to raise the opinion of effective legal criterion of denial to company legal person status and the legislation proposal in perfection of 'Company Law'.
