摘要
独立董事制度源于英美国家。我国具有导入独立董事制度的土壤 ,新《公司法》应授权公司章程自由选择单层制和双层制 ,寻求良好的独立董事与外部董事的构成比例 ,完善独立董事的能力建设机制、选拔机制、利益激励机制 。
The system of independent directors originated from Britain and the United States. China has the environment for introducing the system of independent directors. However, the new Company Law shall authorize articles of companies to select one level system or two level system at will, to seek a good proportion of independent directors to outside directors, to perfect the mechanism of developing directors' ability, selection mechanism, incentive mechanism, and accurately orientate the role of independent directors.
