摘要
本文从英美独立董事的定义出发,研究了英美对董事的任职资格、独立董事独立性的要求和独立董事业 务素质的要求,对完善我国独立董事的任职资格提供了有益的借鉴。
From the introduction of the definition of the independent director, the researches are conducted on the qualification standards as well as the criteria of the 'independence' of the independent director. It is believed that the introduction and researches of the system of independent director in England and America may provide experience and basis during the legislation of independent director system in our country.
