摘要
主流的公司契约理论将公司视为纯粹的私人事项,并在规则层面强调公司法的示范性和非强制性,但大型平台公司的出现使得这一理论面临挑战。基于广泛的覆盖范围、庞大的用户数量以及“市场—组织”的双重属性,大型平台公司获得了超越传统公司的影响力和市场地位,部分头部平台公司甚至成为具有公共性的基础设施。大型平台公司的属性变化带来了组织规则的调整,各国纷纷通过立法来强化外部介入,以防范可能的经营风险。在大型平台公司公共性不断彰显的背景下,公司组织规则的强制性开始得到彰显,公司法并非仅仅是帮助企业管理其内部事务的示范法,其亦应成为实现公共政策的有力工具。随着数字时代公司经营模式的变化,在公司法规则中加入公共性考量已经成为公司法发展中需要关注的新变化。
The emergence of large platform companies has challenged mainstream corporate contract theory, which treats companies as purely private matters and emphasizes the non-compulsory nature of corporate law at the rule level. Based on their wide coverage, large number of users and dual attributes of“market-organization”, large platform companies have gained great influence and dominant position, and some of the top platform companies have even become public infrastructure. The change of large platform companies has brought about the adjustment of organizational rules, and countries have adopted legislation to strengthen external intervention to prevent possible business risks. Corporate law is not only a soft law to help companies manage their internal affairs, but also a powerful tool to achieve public policy. In the context of the increasing publicization of large platform companies, the compulsory nature of their organizational rules has become a conceptual change that needs attention in the revision of corporate law.
