摘要
数字平台企业会自发地进行隐私保护,但其隐私保护水平较低,隐私保护制度应促使企业以社会所需水平进行隐私保护。然而,以事前赋权模式为特征的现行隐私保护制度,不仅无法促使企业有效保护隐私,还会限制数据的利用。本文构建了企业进行隐私保护的事后共享模式,通过建立用户和企业的利益共同体,由企业主导进行平衡数据保护和利用的决策,让企业和用户在数据利用的过程中共担隐私安全风险、共享数据利用收益。实现事后共享模式应依托平台企业建立数据信托,以数据为信托财产、以企业为受托人的数据信托可通过信托条款、信义义务、过错推定原则和受托人权限等法律制度,健全隐私保护机制,提高数据利用效率。最后,设立平台数据信托宜采用合同形式。
Digital enterprises are self-motivated to protect privacy,but their level of privacy protection is usually low,and privacy protection regimes should enable enterprises to implement privacy protection at the level required by society.However,the current privacy protection system in the ex ante empowerment model not only fails to enable enterprises to protect privacy effectively,but also limits the use of data.This paper constructs an ex-post sharing model for privacy protection by organising a community of interest between users and enterprises,with enterprises taking the lead in making balanced decisions on data utilisation and protection,allowing enterprises and users to share risks and benefits in the progress of data utilisation.A data trust with data as trust property and enterprises as trustees should be the path to achieving the ex post sharing model through trust clauses,fiduciary obligations,the principle of presumption of fault and trustees'authority,etc.Relying on platform enterprises to establish data trusts,it has more advantages such as sound privacy protection mechanisms and improved data utilisation efficiency.Finally,a contractual form is appropriate for the establishment of the platform's data trust.
