摘要
委托租赁合同纠纷频现商业地产,司法实务中对委托租赁合同的法律属性认识不一,造成同案不同判,类案不相鉴。其裁判分歧主要在于对委托租赁合同定性有租赁合同说、委托合同说和非典型合同说三种观点,对前两种观点进行功能主义视角的检视与批判,拟采非典型合同中的混合合同证成委托租赁中的给付关系,进而推知委托租赁合同为混合合同中的类型联合合同。《民法典》对混合合同适用第467条的参照规则,委托租赁合同可参照适用最相似的合同即类型联合合同的法律适用规则,依结合说可知委托租赁合同法律适用分两步走,其一,房屋交付、租金给付采用租赁的规定,商铺经营、收益分配采用委托的规定;其二,租赁与委托之法律效果相冲突时,适用委托合同之规定。
Disputes over entrusted lease contracts frequently occur in commercial real estate operations.In judicial practice,different understandings of the legal attributes of entrusted lease contracts have resulted in different judgments in the same case.The divergence of judgement in sorting cases lies in the qualitative aspects of entrusted lease contracts,which mainly have three viewpoints:lease contract theory,entrusted contract theory and atypical contract theory.From the perspective of functional ism,we examine and criticize the lease contract theory and entrusted contract theory.It is proposed to adopt the hybrid contract in the atypical contract to justify the payment relationship in the entrusted lease.The Civil Code applies the reference rule of Article 467 to mixed contracts.The entrusted lease contract can refer to the applicable law of the most similar contract,that is,the type of joint contract.According to the combination theory,the application of the entrusted lease contract can be divided into two steps.First,house delivery and rent payment shall adopt the provisions of leasing,and shop operation and profit distribution shall adopt the provisions of entrustment;second,when the legal effects of leasing and entrustment conflict,the provisions of the entrustment contract shall apply.
