摘要
相较于其他法律而言,民法典对公司合规制度的规制不但涉及的内容更加基础和全面,关注的视角更加广阔和多维,而且目标安排也更加稳固与长远。由于我国民法典以社会主义市场经济基本法为基本定位,以推动社会经济可持续健康发展为立法目标,因而对作为基本市场主体和社会财富最重要创造者的公司,不但要通过良好的规则设计为其营利性活动提供广阔的空间和注入强大动力,而且还应当通过合规制度对公司的违规、逾常和越轨行为进行矫正和指引,从而使其不但成为社会财富的创造者,而且成为社会道德的践行者和引领者。我国民法典对公司的合规性要求,既明确体现在民法基本原则的宏观布局中,同时也充分反映在法人、法律行为以及物权、合同、法律责任等具体法律制度的设计之中。对后民法典时代公司合规制度的系统完善,应坚持以民法典为基础、以公司法为核心、以关联法律为配套辅助的基本思路,通过将合规要求分散嵌入不同法律部门的方式,实现合规要求的覆盖与合规制度的协同。
Compared with other laws,the regulation of the company compliance system in the civil code not only involves more basic and comprehensive contents and pays more fundamental and accurate attention to the perspective,but also has more stable and long-term goal arrangement.Because China’s civil code takes the basic law of market economy as the basic positioning and promotes the sustainable and healthy development of social economy as the legislative goal,the company,as the basic market subject and the most important creator of social wealth,should not only provide broad space and inject strong power into its profit-making activities through good rule design.Moreover,the company’s violations,excesses and deviant behaviors should be corrected and guided through the compliance system,so as to make it become both the creator of social wealth and the practitioner and leader of social morality.The compliance requirements of China’s civil code for companies are not only clearly reflected in the macro layout of the basic principles of civil law,but also fully reflected in the design of legal persons,legal acts,property rights,contracts,legal liabilities and other specific legal systems.For the systematic improvement of the company’s compliance system in the post Civil Code era,we should adhere to the basic idea of taking the civil code as the foundation,the company law as the core and relevant legal supporting as the auxiliary,and realize the full coverage of compliance requirements and the coordination of compliance system by dispersing and embedding compliance requirements into different legal departments.
