摘要
供应链网络的形成与发展使公司社会责任问题日趋复杂,并逐渐成为全球供应链治理的重要内容。全球供应链治理为优化跨国公司社会责任治理提供理论支撑,通过合作治理与混合治理的方式应对当前治理差距。通过该理论可以发现,当前世界范围内以强制性人权尽责为核心的法律规制实践基本符合供应链治理的核心要求,但也存在不可忽视的瑕疵。在“工商业与人权条约”进程缓慢、规制跨国公司及供应链商业活动迫在眉睫、人权尽责立法逐渐获得国际社会认可的背景下,以制定框架公约的方式推进全球供应链中跨国公司人权尽责的法律规制具有可欲性与可行性。法理依据、国家义务、强制性人权尽责、专职协调机构、冲突解决办法与供应商的救济是该框架的核心内容。我国是全球供应链中的重要国家,政府与工商业界应进一步关注强制性人权尽责的国际发展,通过建设性参与工商业与人权国际框架公约、加强国内企业实施人权尽责等方式充分应对日益显现的“强制性人权尽责主流化”趋势。
The formation and development of supply chain networks have complicated the issue of corporate social responsibility, making it an important part in global supply chain governance. Global supply chain governance provides theoretical support for optimizing supply chain-based social responsibility governance of multinational corporations. Different from the traditional "command-obey" authority structure, global supply chain governance emphasizes cooperative governance and mixed governance, aiming at reconciling the conflicting interests of different subjects in the supply chain through institutional design and implementation, and taking joint actions to keep continuous and stable operation of the supply chain so as to maximize its performance. Based on this theory, it can be found that the domestic legal regulations centering around human rights due diligence and the law-making practice of international organizations worldwide are basically in line with the core requirements of supply chain governance, but there are some defects that cannot be ignored, which include the failure of the legal institutional design to effectively resolve profit distribution of the supply chain, obvious differentiated scope of application of laws and incomplete legal remedies and sanctions, etc. Against the backdrop of slow progress of the Binding Treaty on Business and Human Rights, the urgent need to regulate the commercial activities of multinational corporations and supply chains and the gradual recognition of human rights due diligence legislation by the international community, it is desirable and feasible to formulate a framework convention to promote the legal regulations on human rights due diligence of multinational corporations in global supply chains because the framework convention, compared with the model law and international investment law, has more advantages in realizing policy coordination and ensuring policy space.
