摘要
尽管近年来中小商业银行在强化公司治理工作中均做出巨大努力并取得一定的成效,但是,一些金融机构风险和案件仍然时有发生,究其原因是没有抓住公司治理中产生问题的实质,即现行公司治理体制设计中大多实行的“一把手”负责和责权利对等两项制度的设计前提基础存在不足,这两项制度的底层逻辑是“一把手”或经营层是完全依法守规、优秀的管理者,但实践证明这个前提有时却不完全成立。近年来出现的诸如包商银行破产、吉林银行管理层集体贪腐等充分说明了这一点。新时期解决中小商业银行公司治理中存在的问题要切实强化对高管层的管理,尤其是选好、管好“一把手”,构建合理的选人用人新机制;深化改革,加大监督力度,建立责权利监对等的新型监督体制;打造科学完善的决策管理模式;树立人力资源管理新理念,营造健康的企业文化。
In recent years,small and medium-sized commercial banks have made great efforts in strengthening corporate governance and achieved a lot.However,some financial institutions risk and cases still appear from time to time.The reason is that it fails to grasp the substantive causes of corporate governance problems,that is,in the design of the current corporate governance system,there are deficiencies in the design premise of the two systems,which are the chief responsibility system and the equality of responsibilities and rights.The underlying logic of these two systems is that the chief executive or the management layer is an excellent manager who complies with laws and regulations completely.Practice has proved that this premise is sometimes not completely valid,which is illustrated fully by the bankruptcy of Baotou Commercial Bank in recent years and the collective corruption of Jilin Bank management.The paper explores some effective countermeasures to solve the problems in the corporate governance of small and medium-sized commercial banks in the new era.Firstly,it is necessary to strengthen the management of senior executives,especially to select and manage the top executives well,and to build a new reasonable mechanism of selection and appointment;Secondly,we will deepen reforms,strengthen supervision and establish a new supervision system where responsibilities and rights are equal;Thirdly,the scientific and perfect decision-making management model should be built;Finally,the new concept of human resources management should be set up to create a healthy enterprise culture.
