摘要
当今商业贸易中,商业秘密成为企业无形资产的重要组成部分,在商业秘密保护中,保密措施的判断成为关键所在。新修订的《反不正当竞争法》将商业秘密中保密措施的判断确立为"相应"标准,结合相关司法解释,我国目前针对保密措施的判断问题并未形成完整的判断规则。确立主客观二元化的保密措施构成要件以及将法定的"相应"标准细化为"合理、具体、有效"的三要素模式,引入保密措施最低标准和第三方理性人标准等辅助判断因素,从而构建完善的保密措施判断体系应当是我国商业秘密保护的制度发展方向。
In today’s commercial trade,trade secrets have become an important part of corporate intangible assets.In the protection of trade secrets,the judgment of confidentiality measures has become the key.The newly revised Anti-Unfair Competition Law establishes the judgment of confidentiality measures in trade secrets as a"corresponding"standard.In combination with relevant judicial interpretations,China’s current judgment on confidentiality measures has not formed a complete judgment rule.Establishing a subjective and objective duality of confidentiality measures,a three-element model of refining statutory"corresponding"standards to"reasonable,specific,and effective",introducing auxiliary judgment factors such as minimum standards for confidentiality measures and third-party rational person standards,Therefore,the establishment of a comprehensive judgment system of confidentiality measures should be the development direction of China’s commercial secret protection system.
