摘要
我国反垄断执法机构与法院选择了不同的转售价格维持规制路径,根源在于《反垄断法》第13-15条对转售价格维持的规定过于原则,缺乏可操作性。从法经济学理论出发:错误成本分析框架揭示了违法推定规则能够最小化决策成本与管理成本之和;诉讼成本理论指出违法推定规则能够以较低的成本公平地分配举证责任。因此,转售价格维持反垄断法实施的理想路径应当是违法推定规则。执法机构颁布的《禁止垄断协议暂行规定》的相关条文大幅细化了《反垄断法》的转售价格维持规定,从根本上完善了违法推定规则。《中华人民共和国反垄断法》修订草案(公开征求意见稿)虽然也对转售价格维持的规定做了一定的完善,却并不彻底,仍旧遗留了一些问题。因此,我国在修订《反垄断法》时,应当借鉴《禁止垄断协议暂行规定》的有益经验来改造第15条的规定。
Chinese antitrust law enforcement agencies and courts have chosen different regulatory paths for the maintenance of resale price,which is due to article 13~15 of the Anti-Monopoly Law on resale price maintenance is principle and lacks operability.Based on the framework of error cost analysis,the rule of refutable presumption can minimize the sum of decision cost and regulation cost.The litigation cost theory points out that the rule of refutable presumption can fairly distribute the burden of proof at a lower cost.Therefore,from the perspective of law and economics,the rule of refutable presumption should be the ideal regulation path for the resale price maintenance.The Interim Provisions on the Prohibition of Monopoly Agreements recently promulgated by law enforcement agencies has further refined the provisions on the resale price maintenance of the Anti-Monopoly Law and improved the rules of refutable presumption.The revised draft of the Anti-Monopoly Law of the People’s Republic of China(the draft for public consultation)also makes corresponding improvements to the resale price maintenance provisions,but it is not complete,and still leaves some problems.When revising the Anti-Monopoly Law,we can use its useful experience to reform article 15.
