摘要
混合所有制改革中,随着国有股权的退出或减少,企业的控制权也随之转移,国有企业按照公司法规则由各股东参与治理。但在国有股比例降低的情形下,国家在特殊事项上仍基于公共利益需要取得特定权利,混合所有制改革中试行的国家特殊管理股制度即基于此而产生。改革文件中并没有明确国家特殊管理股的具体内容,因而需要从特殊管理股的适用范围、特殊表决权的内容以及适用的限制等方面加以制度构建。
In the reform of mixed ownership, with the withdrawal or reduction of State-Owned Shares, the control right of the enterprise is also transferred, and the state-owned enterprises are governed by the shareholders according to the rules of the company law. However, when the proportion of state-owned shares is reduced, the State still obtains specific rights based on the need of public interest in special matters, which is the basis of which the national special management share system is put into practice in the reform of mixed ownership. There is no specific content of the national special management unit in the reform document, so we need to build the system from the scope of application of the special management unit, the content of the special voting rights and the applicable restrictions.
