摘要
近年来,沪深两大交易所频繁发放的问询函吸引了投资者和媒体的极大兴趣。作为非行政处罚性监管的措施之一,问询函是否达到了预期的监管效果是一个有待研究的课题。因此,通过对交易所监管问询的现状、特征与经济后果的分析,发现目前我国的问询函具有发放及时、热点问题跟进及时,专业化程度高,内容以信息披露、公司治理、重大事项和潜在风险为主等特征,问询函收函与回函均具有一定的信息含量,对利益相关者的决策产生了重大影响。
In recent years,Frequent inquiries from Shanghai and Shenzhen exchanges have attracted great interest from investors and the media.As one of the measures of non-administrative penalty supervision,whether the inquiry letter has achieved the expected regulatory effect is a subject to be studied.Therefore,through the analysis of the present situation,characteristics and economic consequences of the exchange supervision inquiry,it is found that the inquiry letter in our country is issued in a timely manner,hot issues are followed up in a timely manner,the degree of specialization is high,the content is disclosed by information and corporate governance.Major matters and potential risks are the main characteristics,and both the letter of inquiry and the letter of reply have a certain information content,which has a great impact on the decision-making of stakeholders.
