摘要
现代公司法律制度的成长与工业革命相伴随,所预设的公司经典形象为独立的大型股份公司,公司法体系与规则皆为此而设计,故公司法并非对于所有公司形态适用无碍。平台型公司兴起为信息时代的瞩目现象,意味着传统法人分类标准的模糊,主体自身扁平化,构筑平台生态系统,以数据作为主要财产类型。平台型公司改变了公司经典形象,在公司内外部关系上皆对公司法律制度产生冲击。未来法律制度应作出范式转化,构建以数字为重点,以合同为手段,以利益平衡为标准,以促进创新为目的的融合型法律体系。
The growth of modern corporate legal system is accompanied by the industrial revolution.The presupposed classical image of a company is an independent large-scale joint-stock company.The system and rules of corporate law are designed for this purpose.Therefore,the application of corporate law is not unhindered for all corporate forms.The rise of platform-based companies is a noticeable phenomenon in the information age,which means that the traditional corporate classification standard is vague,the main body itself is flat,and the platform ecosystem is constructed,with data as the main property type.Platform companies have changed the classic image of the company,and both internal and external relations of the company have an impact on the company’s legal system.In the future,the legal system should be transformed into a paradigm,with digital emphasis,contract as a means,and balance of interests as a criterion,so as to promote innovation as the goal of the integrated legal system.
