摘要
我国现行实体法规范对电子商务合同中的意思表示瑕疵的规定很不完善,司法实务多根据传统意思表示瑕疵的构成要件处理电子商务合同中的意思表示瑕疵,相应的理论研究也囿于传统法律行为理论而无法为相关问题的解决提供合理的解释。对于这一问题,在人工智能背景下,应当结合司法案例对该领域展开实证研究。具体而言,应在总结司法裁判经验的基础上对电子商务合同的重大误解构成要件进行归纳,从实体与证据两方面展开,在平衡利益冲突的基础上解决相应问题。电子商务合同中的重大误解的逻辑分析应遵循客观解释论的趋势,运用"工具说"理论,对电子商务合同中的意思表示展开分析。在实体方面,信息强势一方应承担更严格的告知、说明义务,违反这些义务会影响重大误解的认定;在程序方面,电子商务合同应实现电子证据的客观化采信。
The system of Chinese current substantive law is badly imperfect on the defect of will of e-commerce contract, which is regulated mostly by traditional theories in the judicial practice.Theoretical research is also limited to the theory of traditional juristic act and cannot provide reasonable explanations for the solution of related problems.This issue, under the background of artificial intelligence, should be researched by combining the judicial cases.To be more precise, the constitutive elements of significant misconception of e-commerce contract should be summed up basing on summarizing the experience of judicial adjudication, and the conflict of interests will be balanced from two aspects of entity and evidence.The logical analysis of the significant misconception of e-commerce contract follows the trend of objectivity."Tool Theory" provides a better explanation of the declaration of will of e-commerce contracts.In the aspect of substantive law, the party controlling information absolutely should bear more rigorous notice and explanation obligations, and the breach of obligations will affect the identification of significant misconception.Moreover, in the aspect of evidence, the e-commerce contract should achieve the objective recognition of electronic evidence.
