摘要
本文研究这样一类并购现象,并购企业是大公司,并购目标是知识型和技术型创新小公司,并购的目的是大公司获得新的知识资源和技术资源,创新小公司获得大公司的资金优势、组织资源和营销能力,将这类并购称为BKT并购。本文对BKT并购的特征进行详细的分析,认为BKT并购是跨国公司发展的重要手段,对它的研究对于我国企业具有特殊意义。
With economics globalization and technology developing more and more corporations realized that knowledge and technolo-gy is the key resource of the corporation.Effective acquiring and developing corporation's knowledge and technology directivity deter-mined it's booming and ruining.In this paper we focus on the special M&A phenomena-based on knowledge and technology one is large corporation and another is innovative firm which possessed pivotal innovative knowledge and technology.Through M&A the large one acquired the small one's knowledge and technology which is the large corporation imperfect and the innovation firm acquired the marketing and organizational knowledge of large corporation.It is called BKT M&A.We discussed BKT M&A through some cases and analyses characteristics of BKT M&A.It argued that BKT M&A is an important developing way to MNCS.Studying BKT M&Ais al-so important to Chinese conporations.
