摘要
尽管学界对公司人格否认进行了广泛研究,但是还不够深入。以"股东有限公司———公司独立责任"为线索进行剖析,就会发现:股东有限责任(或者说公司独立责任)是公司人格否认形成的基础,股东有限责任→公司独立责任→股东滥用公司独立责任乃为公司人格否认的事实逻辑,公司人格否认之法律适用乃为对事实逻辑的回溯。
<Abstrcat> Many researches have been done on 'corporation personality denial', but most of them are not indepth. Following the clue from the limited liability corporation to unlimited corporation, the paper comes to the conclusion: the limited liability is essential for formation of 'corporation personality denial'. From limited liability to solo liability, and to abuse liability are the fact logic of corporation personality denial.
