摘要
在当今互联网高速发展的时代背景下,本文从合同当事人、意思表示以及互联网服务为交易客体时的特殊性等三个方面阐释了电子交易合同成立的法律问题,提出:在确定合同当事人方法上不应将虚拟身份与现实身份一对一捆绑,应首先以传统方式甄别,当发生争议之时,再辅以实名制手段。在意思表示方面,分析了要约与要约邀请之争,提出在C2C模式中应偏重解释为要约。另外,一般配有在线支付的电子交易中,拍下未付款不属于承诺的撤回。最后,笔者对互联网服务合同加以分析,肯定"使用/点击同意"规则达成合意的有效性,并厘清了在此规则下的要约与承诺。
In today's situation of booming Internet development,this thesis explains the legal issues of electronic trading contract from three aspects: the contracting parties,declaration of will and the particularity of the Internet service as the transaction object. It is presented: the virtual identity and the real identity should not be bundled together in the determination of contract parties. The traditional methods should be optimal. When disputes arise,it should be supplemented by the real-name system.In terms of declaration of intention,the argument between offer and invitation for offers is analyzed,and the idea that in the C2 C model,it should be interpreted as offer is come up with. In addition,in electronic transactions with online payment,unpayment is not a promise of withdrawal. In the end,the author analyzes the Internet service contract,affirming the validity of the"use/click consent"rule,and clarifies the offer and commitment under this rule.
