摘要
有限责任公司的出现实现了所有权与经营权的分离,但它同时也带来了委托代理问题。区块链社区是有别于有限责任公司的一种新型组织模式,这种组织模式实现了利益相关人与股东合二为一,避免了有限责任公司面临的两权分离而带来的委托代理问题。但这种新模式也伴随着许多新问题:去中心化的公平与决策达成的效率之间的平衡问题;去中心化的理念与事实上算力集中的问题;区块链社区分叉的问题;创始人团队与社区使用者、ICO的投资者,以及二级市场交易者之间的利益冲突问题等。
Limited liability companies（LLC） bring about the separation of ownership and the management power; but at the same time, it causes the principal-agent problem. Blockchain community is a new organizational form different from the LLC. It achieves the unity of the stakeholders and the shareholders, and avoids the principal-agent issue resulting from the separation of ownership and management power. But it also creates many new issues including the paradox between the ＂decentralization＂ fairness and the decision-making efficiency; the concept of decentralization and the realistic concentration of computing power; the fork problem of blockchain; the conflict of interest among the founders, users, the ICO investors, and the secondary market traders.
