摘要
通过收集近5年79家央企领导人及其下属283家上市公司2869名新聘董事的相关信息,对央企领导的背景特征如何影响董事选聘这一问题进行研究。结果表明:央企领导和新董事具有明显的政治特质与经济特质的二元性特征;央企领导的背景特征会影响新董事的特质,但不同背景特征对新董事政治特质和经济特质影响强度并不一致;同为央企领导,董事长与CEO的背景特征对董事特质的影响呈现出不同的特点;央企上市公司所在地的市场化进程水平在央企领导的背景特征与新董事政治特质之间起负向的调节作用,与新董事的经济特质之间起正向的调节作用。
This article collects data of the characteristics of 79 central state-owned enterprise leaders and 2869 newly appointed directors from 283 subordinate listed companies from recent 5 years,and investigates how the background characteristics of central SOEs leaders influence the selection of directors.Research results supports the following conclusions:first,both central SOEs leaders and new directors show an obvious political and economic duality;second,the background of the central SOEs leaders will affect the characteristics of the new directors,but the influence on political and economic characteristics of the new appointed directors is not consistent;third,the background characteristics of the chairman and CEO show different impact on the characteristics of directors;fourth,the local marketization degree where the subordinate listed companies are registered moderates negatively between the background characteristics of the central SEOs leaders and the political characteristics of the new directors,and positively between the background characteristics of the central SEOs leaders and the economic characteristics of the new directors.
