摘要
针对经济新常态下铁路直属公司制企业数量不断增加,铁路企业组织架构向母子公司管控集团化经营模式转变的趋势,基于运输调度指挥统一原则,根据与铁路运输主业的关联度选择铁路直属公司制企业管理模式,并在明确直属公司制企业外派董事管理在股东规范行权方面作用的基础上,从明确外派董事选派流程、设计更为合理的人员结构、加强外派董事后期管理和建立兼职外派董事的激励机制等方面提出相关对策建议,以规范铁路直属公司制企业的管理,切实维护铁路企业作为股东的合法权益。
Targeting the growing trend of the number of affiliated companies under economic ＂new normal＂,transforming railway enterprise＇s organizational structure into the grouping operation mode of parent-and-subsidiary control,on the basis of the principle of unifying transport traffic control,the management mode of railway affiliated company could be selected related to railway transport major business.On the basis of clearing the roles of expatriate directors management of affiliated companies in normalizing stockholders＇ behavior,this paper puts forward countermeasures and suggestions from the aspects of clearing selection process of expatriate directors,designing more reasonable staff structures,strengthening the final-period management of expatriate directors and establishing the incentive mechanism towards side-bar expatriate directors,so as to standardize the management of affiliated companies and maintain legitimate rights and interests of railway enterprise,which is regarded as the stockholder.
