摘要
为了跨越技术创新的鸿沟,我国后发企业频繁实施技术寻求型跨国并购,加快技术追赶。公司总部在跨国并购中扮演着重要的角色,然而,现有文献对总部角色的演化还缺乏探讨。通过时代电气并购Dynex的案例研究发现,技术寻求型跨国并购经历分技术寻求、技术转移、技术升级3个阶段,公司总部扮演了战略、协调、控制和行政等3个角色,不同阶段角色类型和功能侧重点存在差异,但战略角色贯穿并购过程的始终。这种角色演化是由其面临的问题和所掌握的资源、能力所决定的。通过构建公司总部角色演化模型,为公司总部在技术寻求型跨国并购不同阶段的角色定位指明了路径。
For crossing the gap of technological innovation, Chinese enterprises frequently implement cross-border mergers and acquisitions of seeking technology to accelerate technology catching-up. Corporate headquarters plays an important role in cross-border mergers and acquisitions. However, the existing literature still lack discussion on the evolution of the role of the headquarters. Through the case study of the Era Electrical merging Dynex, it is possible to find that cross-border mergers and acquisitions of seeking technology experience three stages: Technolo- gy seeking, technology transfer and technology upgrading. Accordingly, corporate headquarters play three roles such as strategy, coordination, control and administration. Different stages have different role types and fimction emphasis, but role of strategy throughout the whole process. The role of evolution is depended on challenges that corporate headquarters is faced with in different stages and its capabilities. The role evolution model of corporate headquarters is constructed in order to show direction for the role positioning of corporate headquarters in different stages of cross-border mergers and acquisitions of seeking technology.
