摘要
以深圳证券交易所中小板、创业板上市公司全部样本为评价对象,从公司治理的四个方面全面、系统地考察中小型高科技上市公司的治理状况、特征、风险和改善途径,研究显示,良好的公司治理是企业实现可持续发展的保障。中小板、创业板公司治理良好的公司,经营业绩均优于那些治理不良的公司,公司治理和公司业绩存在着一定的正相关关系。激励机制不完善是中小型高科技上市公司治理普遍存在的软肋。改进和完善公司治理的法制基础和金融市场基础,是现阶段提高我国上市公司治理水平的当务之急。
This report focuses on corporate governance of listed companies in SME board and Chi Next market in Shenzhen Stock Exchange. With a scorecard based on OECD corporate governance principles and Chinese regulations, this report investigates the governance situation, governance characters and existing problems of the small and medium-sized listed companies. The report is suggested to help firms in rapid growth stage improve corporate governance, and provide implications or references for other small and middle-sized enterprises. The report shows that good corporate governance is the guarantee of sustainable development. Those firms with better corporate governance practices have better financial performance. There is a positive correlation between corporate governance and corporate performance. Meanwhile, the universal weakness of small and middle-sized high-tech listed company in corporate governance is imperfect incentive mechanism. Improving and perfecting the legal basis and financial market basis of corporate governance is the top priority to improve the corporate governance of listed companies.
