摘要
政府与社会资本合作(以下简称"政社合作")既是一个改革问题,又是一个发展问题。这种合作模式打破了传统的政府与市场之间泾渭分明、楚河汉界的关系,形成了新的"风险—利益"关系。现行民法很难实现对这种新型"风险—利益"关系的全面有效调整,政社合作立法势在必行。现有条件下,可先行制定并出台《政府与社会资本合作条例》(以下简称"条例"),条件成熟时再行立法。条例起草应充分体现政社合作模式的共治理念,着眼于宏观管理、一般规律、共性核心问题进行顶层设计,不宜对具体操作层面的问题规定过细过死。鉴于此,条例可包括总则、监管体制与监管机构、合作项目与合作主体、项目阶段及程序、预算管理与资产管理、考核评价与信息公开、法律适用与争端解决、法律责任、附则九章的完整框架。
Public-Private-Partnership (PPP) is not only a problem of economic reform, but also economic growth. The traditional relationship between the market and government has been broken by the cooperation and been replaced by a new risk-benefit relationship. This new relationship cannot be covered by the existing Civil Law regimes. Because of this, PPP legislation is extraordinarily necessary. What we should do now is to actively create the operating conditions and draft the Public-Private-Partnership Regulations. When sufficient experience has been obtained and conditions become ripe, PPP laws can be formulated. The legislation for PPP should embody Co-Governance and focus on the general and common rules. Emphasis should be placed on macroeeonomie management, not on the operational level about the regulations. In view of the above mentioned facts, the regulations should be composed of nine chapters including general provisions, supervision system and regulators, cooperation projects and subjects, project phase and program, budget and asset management, performance evaluation and information disclosure, legal application and dispute settlement, legal liability, and supplementary provisions.
