摘要
商铺作为商事经营活动中必不可少的组成部分,在租赁期限届满之际承租人都希望继续承租原有商铺。然,现规范并没有赋予承租人对商铺的优先承租权,产生了一些问题,主要包括优先承租权并非我国法定的权利、承租期限过短、怠于行使权利以及同等条件不统一。关于优先承租权要坚持事实与规范相结合,既要尊重双方当事人的合同自由意思表示,同时也应尊重诚实信用原则对合同自由之限制。因此,需要对"优先承租权"进行目的性限缩解释,侵害优先承租权的行为要予以补偿,补偿金额为商誉摊销公允价值,同时需严格限制出租人的豁免理由。
Shops are the essential part of the commercial business activities, and the lessees would like to lease the same shop after the deadline of the lease period. The present regulations have not given lease priority to lessees so that some problems appear, the main of which are that the lease priority is not the legal right, the lease period is too short, and there is no consistence in legal terms. In order to keep the reality and regulations about the lease priority combined, not only should the parties' freedom on the declaration of will about the contract be respected, but also the limit by the princi- ple of good faith should be respected. _As a result, it is necessary to put a limit on the teleological interpretation about the priority of lease. He who infringes the priority of lease should compensate the lease and the fair--value of the amortization on goodwill acted as the compensation, meanwhile the exemption excuse of the lessees must be limited strictly.
