摘要
在混合所有制改革背景下,员工持股成为新的亮点。现阶段员工持股有着不同以往的历史意义,实践中面临着法律法规、持股主体范围、持股比例确定、持股资金来源及股权退出等诸多问题。在众多约束条件下,要实现效率与公平并重,就需要完善和健全法律法规体系;建立政府、企业及员工的三方参与协调机制;强调增量分享,引导员工持股长期激励导向;建立健全对员工持股的财税和金融保障体系;加强内部民主和外部监管。
In the context of mixed ownership reform, employee stock ownership has become a new bright spot: At this stage, the employee stock ownership has a different historical significance. In practice, there are many problems, such as the laws and regulations, the scope of ownership, the proportion of shareholding, the source of the ownership and the withdrawal of equity. In many constraints, to achieve both efficiency and fairness, we need to improve and perfect the legal and regulatory system, establish the coordination mechanism including the government, enterprises and employees, emphasize incremental sharing, and guide employee stock ownership long-term incentive oriented, establish and improve the tax and financial security system of employee stock ownership, and strengthen internal democracy and external supervision.
