摘要
本文首先对瑞士企业并购活跃及其成因进行了分析，并在此基础上对在瑞士并购企业可选择的类型和相关规定进行了详细介绍。随后介绍了近年来中国企业在瑞士成功并购的情况和两位瑞士律师关于中国企业到瑞士进行并购应注意的问题，并就中国企业到瑞士并购提出了建议。
This article introduces firstly the active action and its causes of enterprise mergers and acquisitions （M＆A） in Switzerland. Secondly it lists the details of optional enterprise types and related regulations. The last three parts respectively elaborate the recent successful M＆A cases of Chinese corporation in Switzerland, the problems Chinese corporation should pay attention to in M＆A according to two Swiss lawyers and suggestions to Chinese corporation＇s M＆A in Switzerland from the author.
