摘要
如今,跨国并购已成为我国企业“先出去”的主要方式之一,随着这种跨国投资力度和频率的不断加大,跨国并购中涉及的知识产权问题也日益受到关注。本文以品牌(商标)和专利为重点,介绍了美国知识产权法律法规基本情况,分析了美国企业在并购中处理知识产权的典型做法,并对我国企业海外并购提出了几点建议。
As one of the principal methods for Chinese enterprises to enter the international market, international mergers and acquisitions, especially the intellectual property issues concerned, have attracted more attention. In the paper, the author introduces the IP law system in U.S. and analyzes how the U.S. companies do with the IP issues in mergers and acquisitions, and proposes advices for our enterprises.
