摘要
陈发树与云南红塔间的巨额诉讼凸现了国有股转让协议的审批给民商事交易造成的诸多困扰。一般国有股转让协议并非需批准才可生效,最高人民法院在此案判决中的认识并不正确。但国有资产管理规章现实地对此类协议设置了审批要求,为合同的效力判定和正常履行增添了诸多不确定性。国企出资人并非国资监督管理机构,无权对非直接下级的企业中的国资转让行使监督管理权,其在向有权审批的国资监督管理机构逐级报告国有股转让协议时如有迟延或自作终止,应令出让方承担违约责任。整个国有股份转让制度应当抛弃僵化思维,以促进国有股合理有序流转和市场经济的法治化。
Chen's eyes--catching suit against Yunnan Hongta for failing to deliver highlighted the troubles and uncertainties brought by administrative approval requirements regarding the transfer of state --owned shares. Contrary to the finding in a verdict of supreme people's court, basically there has been no legal requirement for pre--approval of such contracts regarding transfer of state--owned shares before they become valid. The de facto approving requirements set by ministry level regulations undermine con- tract law. The direct or indirect shareholder of state owned companies differ from governmental supervi- sion organs. They do not possess supervision and regulation powers. If such a enterprise delays or termi- nates the proceeding of the application of state owned share transfer approval, the transferor should be viewed as liable for the breach of contract. The whole system of the regulation of state-owned share transfer should be reviewed and rid of outdated ideologies so as to facilitate the necessary transfer of state- owned share and rule of law in the market economy.
