摘要
独立董事制度对于完善公司内部治理结构、保护中小投资者利益具有促进意义,但目前我国独立董事制度遇到发展困境。本文从其功能定位、制度本身设计以及制度外配套设施的发展等角度解析独董制度发展的突出矛盾,并试图借鉴相关国家和地区的发展经验找到困境的解决思路。
The independent director system improves the internal governance structure, protects the interests of medium and small investors, but at present our country＇s independent director system is in a dilemma. The paper analyses the development of the prominent contradictions from its function orientation, system design and development of facilities, tries to use the experience of the development of relevant countries and regions to find the solution of the dilemma.
