摘要
经历多次变革,美国的外商投资安全审查制度已经相对完善。美国外商投资委员会(CFIUS)根据《外国投资与国家安全法》(FINSA)及其实施细则对外国投资按照规定的流程和标准进行审查,重点审查损害或可能损害美国国防安全及经济安全的交易及行为。其审查过程具有国防安全与经济安全并重、投资者自愿申报与CFIUS独立调查相结合、审查过程清晰与标准模糊相结合等特征,这些对中国(上海)自贸试验区建立外商投资安全审查制度都具有一定的借鉴价值。
Since several reform measures have been taken, US foreign investment security review system is now relatively sound. US Foreign Investment Committee （CFIUS）, according to ＂Foreign Investment and National Security Act＂ （FINSA） and its implementing regulations, reviews foreign investment in accordance with the procedures and standards, with a focus on the transactions and behavior that might damage or harm US national security and economic security. Its review process is characterized by the equal importance of national security and economic security, the combination of investors voluntary reporting and independent investigation of CFIUS, the unity of clear review process and fuzzy standards, from which the China （Shanghai） PFTZ can draw some lessons to establish a security review system for foreign investment.
