摘要
股东大会对审议事项依程序表决而形成股东大会决议即股东大会的意思,该意思一经形成即转化为公司的意思。作为团体法现象,股东大会决议属于特殊的单方法律行为。从股东大会决议的性质出发,依托团体法和法律行为理论,可以构建更为合理的股东大会决议成立与生效要件。
The shareholder＇ s meeting decisions reached by voting are a manifestation of the shareholder＇ s meeting intention. As soon as the shareholder＇s meeting intention is expressed, it turns into corporate intention. As a group law phenomenon, the shareholder＇ s meeting decision is a special unilateral legal act. Based on group law theory and legal act theory, the establishment conditions and the effect conditions will be made more rational.
