摘要
上海市属国企整体上市后国有资本的退出,是完善国资有进有退、有序流动机制的重要内容,也是落实横向收缩国资行业跨度、纵向收缩国资管理层级、点上收缩国有股权比重的内在要求。在符合国家有关法律、行政法规的前提下,坚持"总体设计、突破瓶颈、稳步实施、形成制度",公平、公正、公开地操作整体上市公司退出部分国有资本,做到把握退出的资本、退出的标准、退出的途径和退出的时机。
The exit of state--owned capital after overall listing of city state--owned enterprises, is an important content to improve the mechanism of state--owned assets that have entry and exit and orderly flow orderly. It is also the intrinsic requirements of implementation of transversely shrinkage of state--owned industries span, longitudinal shrinkage of state--owned assets management level and the proportion of state--owned shares shrinkage at the point. In this paper, the overall market on the part of Shanghai enterprise groups conducted an investigation, and systematically analyse difficulties and bottlenecks for the state--owned capital exit after overall listing of city state--owned enterprises, to summarize the main practices and lessons learned from state--owned enterprises listed on domestic and foreign state--owned capital exit mechanism, to propose basic ideas, key links and relevant policy recommendations of the state capital exit mechanism in Shanghai after overall listing of city state- owned enterprises.
