摘要
公司司法解散制度并不是解决公司僵局的最佳途径。公司司法解散制度适用得当,可以使得公司、股东利益得到良好的保护;但是若适用不当将对公司造成毁灭性的后果,或者权利滥用。因此,适用司法解散制度时应遵循主体维持、竭尽其他救济、利益平衡等原则,而国外还建立了恶意诉讼防范制度、股权强制收购制度、公司分立制度等替代性救济制度,以期解决司法解散异化所带来的问题。
The emergence and development of the judicial dissolution of corporation system in our country which has gone through a tortuous process was finally established. It should be noted, however, that the system is not the best way to solve the corporation deadlock. If the judicial dissolution of corporation properly applied, it could make the fights and interests of company and shareholders' well protected. But if applied incorrectly, it would bring the company devastating consequences, additionally without the perfect relevant institutions and support mechanisms, it would result in abuse of rights. Through the research of the malicious litigation prevention system, the mandatory tender offer system, and the company division system and other alternative remedies, it is expected to solve the problems caused by the judicial dissolution of alienation.
