摘要
本文对公司势力利用人的表现、追究其责任的理论依据以及立法现状作了比较系统的介绍、评析 ,并提出了运用不法行为责任理论 ,指出在公司法中设计追究公司势力利用人责任规定 ,是唯一切实可行的途径。
The article analyzes and comments systematically on the performance of a user of a company, the theoretical basis on which the relevant legal responsibility is investigated and affixed, as well as the legislative status quo. The author also advances a theory of responsibility for illegal performances and points out that it is an effective expedient that the Company Law stipulates to investigate and affix the responsibility of the one who abuses the power of a company.
