摘要
我国现行法律未对招投标过程能否进行居间行为作出明确规定,司法实践中对这一问题的处理非常混乱。提供缔约机会而不决定是否缔约的居间制度特点,与决定是否缔约的招投标制度特点,表明居间并不必然影响招投标制度的公开、公平与公正性;有效缩短信息和需求人之间时间差的居间制度功能,与使尽可能多的人参与竞争的招投标制度前提,为两种制度的结合提供了切入点。招投标过程并不排斥居间行为,除有证据证明居间人的行为影响招投标秩序外,只要符合合同有效的法定要件,应认定招投标过程中的居间合同有效。
The intermediate behavior in the bidding process has not been explicitly identified in the current law of our country and the handling of it seems to be very confusing in the judicial practice.Features of intermediate system w hich provide contracting opportunities but do not decide to sign contracts and features of bidding w hich decide to make contracts indicate that intermediate behavior does not necessarily affect the openness,fairness and impartiality of the bidding system.Moreover,functions of the intermediate system w hich shorten the time-gap betw een information and its demand and preconditions of bidding system w hich allow as many candidates as possible to participate in the competition provide an entry point for the combination of tw o systems.In fact,the bidding process does not exclude the intermediate behavior.The intermediary contract in the bidding process should be treated as valid as long as it conforms to the statutory conditions of effective contracts,except there is evidence to prove that the middleman's behavior has a negative influence on the order of bidding.
