On the theory of transaction cost, incomplete and asymmetry of information, organizational innovation and organizational advantage, professional division, this paper makes a deep analysis of the theory foundation of forestry＂ specialized cooperative organization. Not only can it explains the meaning and essence of forestry＇specialized cooperative organization, but also it provides theoretical support for forest areas to persist in developing the forestry＇specialized cooperative organization.
