摘要
目标企业拥有的知识产权往往是中资收购德国企业时重点关心的问题。但恰恰在价值巨大的专利权方面,确定目标企业是否为其雇员发明之实体法意义上的专利申请人和专利权人并非简单的问题。从德国2009年进行的《雇员发明法》修改出发,着重分析该法在职务发明的报告与权利主张程序,澄清修改前后目标企业取得本企业雇员职务发明之专利申请权与专利权的条件,及权利转让过程中可能存在的风险。最后对我国职务发明制度的发展趋势进行了简要分析与评述。
While the intellectual property portfolio of the German target enterprises is often counted as one of the main motivations leading to Chinese outbound acquisitions of such targets, to review the proprietorship of patents and patent applications purportedly owned by the target, especially to review whether the target substantially owns its patents and patent applications may constitute quite a complicated issue. Starting with the reform of the German Act on Employees' Inventions ("Act") in 2009, this article analyzes the Act on the issue of initial transfer of service inventions, illustrates the different scenarios before and after the reform regarding an employer's claim of rights based on service inventions, points out the risks resulted by the transfer of such rights, and concludes with some remarks to the late development of the the regulatory framework of Chinese employee inventions.
