摘要
公司治理旨在以股东为核心的各利益相关者之间签订契约,合理配置权、责、利。公司治理效率最大化,即公司治理收益与成本比最大化,最终实现股东利益最大化,实质上是终极所有人利益最大化。全球化趋势不可避免,未来不确定性继续加强,企业家能力的重要性、稀缺性将甚于资本,最终由"企业家治理"取代"共同治理",企业家成为终极所有人。
Corporate governance aims at allocating rights, responsibilities and interests rationally in a contract signed by stakeholders where shareholders are in the core. Maximizing the efficiency of corporate governance which means maximizing shareholders＇ interests is essentially maximizing the ultimate owners＇ interests. The trend of globalization is inevitable and the uncertainty is continuing to be strengthened. Under the circumstances, entrepreneur capabilities show more importance and scarcity than capital. As a result, entrepreneur governance will replace collaborative governance and entrepreneur will be ultimate owner at last_
