摘要
企业并购是企业发展的必然趋势,也是我国企业做大做强的一种常见模式,同时也是企业为了追求资本最大增值,缓解竞争压力。企业并购作为市场机制的重要组成部分对经济的发展起了巨大的推动作用。随着我国企业改革的深入,如何有效并购与整合是一项复杂的系统工程,往往企业并购与整合是同步进行,很难把二者孤立开来,尤其有效整合是决定企业并购成败的关键。我国环保企业是响应国家战略规划,关于清洁生产,绿色能源的可持续发展战略而组建发展起来的,普遍存在资金匮乏,起步迟,技术落后,管理比较粗糙等问题。在并购与整合阶段,如组织结构、财务管理、人力资源整合、企业文化融合等方面还存在大量的风险。而且相关的法律法规还不完善,因此对这方面进行研究具有重大现实意义。

The formation and development of Chinese environmental protection enterpri- ses is in response to national strategic planning, On cleaner production, green energy and sustainable development strategy, some problems so of- ten appear, such as lack of funds, started late, backward teehnology, management issues. There are still a lot of risks in the merger and integra- tion phases, such as organizational structure, financial management, human resource integration, cultural integration, and the relevant laws and regulations are not perfect. So it is a great significance to research in this area.
