摘要
公司法的修改展现了我国公司法立法的巨大进步,而其中最重要的一点是理念上的进步。从新中国历史上公司的发展开始,探寻我国公司法理念的演进,以我国现代公司治理理念为例,论述我国新公司法立法理念的突破和创新。最后从理念所起的方向和发展作用方面,阐明理念对于公司法修改的重大作用。
The modification of the company law shows a great progress in the legislation of the company law in China,in which the most important part is the progress in the concepts.Based on the development of companies in the history of China,the paper explores the evolution of the concepts of the company law,taking as an example the administration concept of modern companies in China,explains the innovations and breakthroughs of the legislation concept of the new law and elaborates the significant guiding and developing functions of the concepts in the modification.
