摘要
我国现行法律对非上市股份公司股权流转的规定过于笼统和原则,缺乏可操作性,这直接影响了非上市股份公司股权流转的安全与效率。为此,需要建立全国性和区域性相衔接的场外交易市场、适时引入混合性交易机制、合理设置投资者准入门槛并逐步完善相关的登记结算制度,为非上市股份公司股权的合法流转提供全面、系统的制度支持。
Concerning the transfer of unlisted company shares,provisions of Chinese current laws is too general and principled.The lack of operability jeopardizes the security and efficiency of the transfer of unlisted company shares.For this reason,we need to establish a OTC market that consolidates national and regional markets,introduce mixed trading mechanism,set up reasonable investor admittance and improve relevant registration and settlement system,so as to provide comprehensive and systemic support for the legal transfer of unlisted company shares.
